2. Description of Service

Contextley is a cold email generation service that uses artificial intelligence to create personalized emails for sales and outreach purposes. The Service allows users to:

  • Upload CSV files containing prospect information
  • Automatically extract context from prospect websites
  • Generate personalized email content using AI
  • Export completed CSV files with generated emails

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Subscription Plans and Payment

4.1 Plans

We offer multiple subscription tiers with different lead limits and features. Plan details are available on our Pricing page.

4.2 Billing

  • Subscriptions are billed monthly or annually as selected
  • Payment is due at the start of each billing period
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice

4.3 Free Trial

We may offer a free trial period. After the trial, you will be charged unless you cancel before the trial ends.

5. Acceptable Use Policy

You agree NOT to use the Service to:

  • Send spam, unsolicited communications, or violate anti-spam laws
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code, viruses, or harmful content
  • Impersonate others or provide false information
  • Harass, threaten, or harm others
  • Scrape or harvest data without permission
  • Reverse engineer or attempt to access our source code
  • Resell or redistribute the Service without authorization

6. Usage Limits

Your subscription plan includes specific monthly lead limits. Exceeding these limits may result in:

  • Temporary service suspension
  • Additional charges as specified in your plan
  • Required upgrade to a higher tier

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by Contextley and protected by intellectual property laws.

7.2 Your Content

You retain ownership of content you upload. By using the Service, you grant us a license to process, store, and use your content solely to provide the Service. Generated emails are your property.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You are responsible for ensuring you have the right to share any prospect information you upload and for complying with all applicable privacy laws.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

  • Uninterrupted or error-free service
  • Accuracy, completeness, or quality of generated content
  • Specific results or response rates from generated emails
  • Compatibility with your specific use case

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTEXTLEY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify and hold Contextley harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for:

  • Violation of these Terms
  • Non-payment
  • Fraudulent or illegal activity
  • Any reason at our sole discretion

You may cancel your subscription at any time through your account settings.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Contextley operates, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
